License Deed.

This License Deed is entered into between Sri. Abcd, S/o Efgh, residing at D. No. 58-16-7, NAD Kotha Road, Visakhapatnam, hereinafter called the Licensor which expression shall include except where repugnant to the context or meaning thereof his heirs, successors, legal representatives, administrators, executors and assignees of One Part.

AND Mr. Hijk, S/O Lmno, represented as Director of M/s. XYZ, D. No. 19-179, ChandraNagar, Visakhapatnam -27, herein after called as Licensee which expression shall include its successors in interest and assigns of the other part.

Whereas the licensor is absolutely entitled to permit on license the Schedule property herein and the License has requested the Licensor to grant permission and License to him, subject to the following terms and conditions, agreed upon between them.

The period of license shall be eleven months from the date of commencement. The License shall commence on 2nd November, 1998.

The Licensee shall keep as security deposit for such payment and observance of the covenants hereunder contain kept with the owner a sum of Rs. 5,000/- (Rupees Five Thousand only), and the balance Rs. 5,000/- (Rupees five thousand only) only within one months from the date of commencement, which carries no interest and will be paid to the licensee on revocation of license and surrender and delivery of possession of the Schedule property subject to such instructions as the licensor shall be entitled i.e., arrears of electricity charges, bills etc.

The licensee hereby agrees upon to pay the license fee of an amount of Rs. 2,500/- (Rupees two thousand five hundred only), per month on the 1st day of every succeeding calendar month.

The purpose of permission of the Schedule mentioned property is specifically understood to be for running "Study Circle".

The Licensor himself undertakes to pay the taxes and other levies and charges to the local authorities except the electricity charges. The license shall pay the electricity charges as per the sub-metre to the owner and he shall pay the same to the concerned authorities.

The period of lease and license may be extended for the further period in the event of the license extended beyond the above said period, and the occupier has agreed to enhance the charges for the license @ 10% percent of the present charges of Rs. 2,500/-, i.e., the license fee will be Rs. 2,750/- P.M. from 01-11-1999 and Rs. 3,000/- (Rupees three thousand only) from 01-11-2000 and so on.

The licensee agrees to allow the licensor and his authorized agents during reasonable time to enter upon and examine the condition of the Schedule Property.

The licensee has taken the schedule property on permission only after personal inspection of the same and on being satisfied completely by the condition of the schedule property. If the licensor later on finds that any repairs are necessary to the schedule property, he shall serve upon the licensee a notice in writing to carry out the repairs in the schedule property and licensee shall accordingly carry out the repairs at his cost within the stipulated period in the notice, failing which the licensor shall carry out the same and deduct the expenses from out of the advance.

The licensee shall keep the schedule property in good condition, and then make good the damages arising out or due to wear and tear by the licensee.

The licensee undertakes not to sublet, assign, permit others or part with the possession of the schedule property.

The licensee undertakes to replace all broken fittings fixtures, sanitary and water apparatus by equally good or better substitutes at the time of handing over the premises. The licensee undertakes to keep the schedule property clean, tidy, wind and water tight

The licensee agrees to deliver vacant possession of the schedule property to the licensor together with all improvements if any done without making material alterations to the premises and without any claim for compensation on account of the improvements.

The license deed shall be executed in duplicate and the original shall be retained buy the licensee and duplicate by the licensor.

The address of the licensee for the purpose of this premise is as stated in the 2nd para of this deed.

The licensee undertakes not to commit any act, which may be the source of nuisance or annoyance to the licensor or others in the building.

The provisions concerning license, its revocation etc., under Indian Easement Act shall be read as supplemental to this deed.

The licensee shall give three months prior notice before evicting the premises.

The Licensee shall use the property for the purpose intended only as a person of ordinary prudence would use them if the property were his own. This licensor shall not use, or permit another to use, the property for a purpose other than that for which it is permitted or damage the building and premises belonging to the licensor to commit any other act which is destructive or permanently injurious there to.

Both the parties have affixed their signatures in the presence of witnesses.
